Terms and Conditions of Sale
1. Definitions

1.1 The “Seller” means With and Without Wires Limited, trading as R C Innovations, PO Box 226, Manchester, M22 0WU
1.2 The “Customer” is the person or company buying the goods that are sold under a contract of sale between the “Seller” and the “Customer”. International Customer shall mean customers from outside Great Britain.

2. General

2.1 These terms and conditions apply to all offers, quotations and sales of goods and/or services by R C Innovations to any customer or potential customer 
2.2 Any agreement between the Seller and the customer shall be binding only if and to the extent that the Seller in writing expressly accepts an individual order. To remove doubt, the definition of "accept" is process and despatch of an order. The Seller shall have full discretion in accepting or rejecting any order.
2.3 Except as set forth in Condition 2.1 above, these Terms and Conditions shall be exclusive of and prevail over all other terms or conditions, unless expressly otherwise agreed by the Seller in writing, all other terms or conditions are expressly rejected by the Seller. The customer agrees to be bound by these Terms and Conditions whether or not expressly so stated in any order, confirmation or otherwise. Each deviation from or modification of these Terms and Conditions requires the express written agreement by a Director of the Seller in each instance. Modification or waiver of any provision in one instance shall not constitute modification or waiver in any other instance.
2.4 The customer may not without the Seller’s prior written consent, assign all or any of its rights under the contract incorporating these terms and conditions.

3. Quotations

3.1 No quotation from the Seller shall constitute an offer.

4. Specification

4.1 Goods are supplied in accordance with the manufacturers standard specification.
4.2 All technical information and particulars of goods and performance given by the Seller are given as accurately as possible but are not treated as binding or as forming part of any contract with the customer unless specifically confirmed or agreed by the Seller in writing.

5. Price

5.1 Prices invoiced will be those ruling at the date of order of the goods or the provision of any service provided.
5.2 All prices are subject to change without notice.
5.3 The price is inclusive of any applicable value added tax.
5.4 All prices are exclusive of postage and packing, unless otherwise stated.

6. Delivery

6.1 Please refer to our delivery and charging policy.
6.2 We will confirm receipt of all orders in writing (by e-mail) within two days.

7. Terms of Payment

7.1 Payments must be made in sterling only, unless otherwise specified and by one of the following payment methods:
  • Major credit cards and debit as listed: Visa, MasterCard , Maestro, Solo, Visa Delta or Visa Electron.
7.2 Unless otherwise agreed in writing all payments by the Customer for goods and/or services shall be immediately, as goods will not be dispatched until full payment is received.
7.3 In the event of non-payment of any sum due to the Seller by the due date all sums owing to the Seller by the Customer shall become due.
7.4 The Seller reserves the right to charge interest on unpaid invoices and any other sums due to the Seller at a daily rate of 3% above the base rate of National Westminster Bank plc from the date when payment becomes due until the date when payment is made. The customer will reimburse the Seller for all costs and expenses incurred in collection of any overdue amount.
7.5 Without prejudice to any other rights which the Seller may have in the event of any sums outstanding on the due date, the Seller shall have the right to cease supplying other goods ordered by the customer from the Seller whether under the contract or any other.

8. Retention of Title

8.1 The property in the goods shall not pass to the customer until the customer has made payment in full. So long as the property in the goods remains rested in the Seller the Seller shall be at liberty at any time to retake possession. The customer shall not resell or otherwise dispose of the goods prior to the passing of the property therein and if the customer shall sell or dispose of the goods in breach of this condition then proceeds of any such sale or disposition shall be held on trust for the Seller.

9. Returns of Goods/Cancellations

10. Cancellations

10.1 Cancellations are only accepted if the Customer complies with the following cancellation procedure and before the order has been dispatched. If the order has been dispatched prior to the cancellation, the return procedure as defined in clause 9 above will apply. If the procedure is not respected, the order will be considered valid and the Customer will remain liable for the full payment.
10.2 Cancellations can be made with R C Innovations customer services line (see Contact us for further information). Customers will be provided with a Cancellation Reference number (CRN) for them to keep for future reference.
10.3 Any extra cost or liability incurred by the Seller due to suspension of work or of deliveries or lack of or mistaken instruction from the customer or to any interruptions or delays attributable to the customer shall be added to the price of the goods and/or services and paid for by the customer.

11. Limitation of Liability

11.1 The liability of the Seller in respect of any misinterpretations shall not in any event exceed the order price of the goods in respect of which a claim is made. 
11.2 No liability whatsoever shall be incurred by the Seller to the customer in respect of manufacturers expressed terms of the contract or warranty agreements.
11.3 While R C Innovations make every effort to ensure the information and links provided are correct and suitable for the purpose provided we cannot accept any liability excluding injury or death.

12. Description

12.1 All trademarks acknowledged.
12.2 The Customer shall respect all licence agreements delivered by the copyright owners. R C Innovations cannot be held responsible or liable for any misuses conducted by the Customer or any third party.

13. Force Majeure

13.1 The Seller shall, without prejudice to any other provisions hereof, be entitled to cancel or rescind any contract and shall not be liable for any loss or damage if its ability to perform its obligations under the contract is in anyway adversely affected whatsoever not within the Seller’s control, or by commercial unfeasibility including the failure by the Seller’s suppliers to fulfil their obligations, the denial or cancellation of necessary permits or licenses or substantial increases in the costs of performance.

14. Miscellaneous

14.1 The contract shall be governed by and construed in accordance with the English Law and the parties hereto submit to the non-exclusive jurisdiction of the English Courts. 
14.2 All payments must be made in pound sterling unless otherwise specified.
14.3 Any provision hereof which is or may be void or unenforceable shall to the extent of such invalidity or unenforceable be deemed severable and shall not effect the other provisions hereof.
14.4 These terms and conditions do not affect your statutory rights. To order goods through this website you must be at least 18 years of age. 
14.5 R C Innovations reserves the right to cancel all membership agreements and the continuation of information supplied.
14.6 Calls may be recorded and monitored for training and security purposes.
14.7 Product reviews supplied on R C Innovations are an objective view from the author and not in any way associated with the manufacturer or supplier.
14.8 Materials on this site may be used, downloaded, copied, reproduced, republished, posted, broadcast, transmitted or linked only for your own personal and non-commercial use only. You agree not to adapt, alter or create any derivative work from any material on this site, or to restrict or inhibit the use of enjoyment of this site by anyone else.
